PROFESSIONAL SERVICE RETAINER AGREEMENT

This Retainer Agreement is entered into between Acme Agency ("Service Provider") and Globex Corp ("Client").

1. SERVICES RENDERED
The Service Provider agrees to perform the following services: Web maintenance, SEO, and graphic design.

2. RETAINER FEE AND ALLOCATION
The Client agrees to pay a monthly retainer fee of $2000. This fee includes up to 20 hours of service per month.

3. OVERAGE RATE
Any hours worked beyond the included 20 hours will be billed at a rate of $120 per hour.

4. UNUSED HOURS
Any unused hours at the end of the month will expire and not carry over to the following month.

5. TERMINATION
Either party may terminate this agreement with 30 days written notice.
